Terms of Service

1. Acceptance of Terms

By booking a discovery call, engaging Nav Creatives for any service, or accessing our website at navcreatives.com, you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not engage our services.

These Terms constitute a legally binding agreement between you ("Client") and Nav Creatives, operated by Navneet ("Studio", "we", "us", or "our"), based in Mumbai, India.

2. Services

Nav Creatives provides performance creative design services including, but not limited to:

• Meta static ad creatives (single-image, carousel, and story formats)
• Motion ad creatives and video edits for paid social
• Ad creative strategy and copy direction
• Brand identity and visual asset design
• Monthly retainer creative packages

The specific scope, deliverables, turnaround time, and pricing for each project are defined in a separate Project Brief or Proposal agreed upon prior to commencing work. In the event of any conflict between these Terms and a Project Proposal, the Proposal takes precedence for that specific engagement.

3. Client Responsibilities

To ensure timely and high-quality delivery, you agree to:

• Provide all necessary brand assets (logos, brand guidelines, product images, copy) within 3 business days of project kick-off.
• Provide clear, consolidated feedback within the agreed revision window (typically 48–72 hours after delivery).
• Ensure all content, images, and information you supply are accurate, legally owned by you, and do not infringe any third-party intellectual property rights.
• Assign a single point of contact for feedback and approvals to avoid conflicting instructions.
• Respond to queries in a timely manner. Project timelines are extended proportionally for any delays caused by late client responses.

Nav Creatives reserves the right to pause or terminate a project if client-side delays extend beyond 14 calendar days without prior written agreement.

4. Payment Terms

One-off Projects: A non-refundable deposit of 50% of the agreed project fee is due before work commences. The remaining 50% is due upon final delivery, before file transfer.

Monthly Retainers: Full payment is due on or before the 1st of each month (or the agreed billing date). Retainer services for the month will not commence until payment is received.

Late Payments: Invoices unpaid within 7 days of the due date incur a late fee of 1.5% per week on the outstanding balance. Work will be paused on active projects until the account is brought current.

Refunds: The initial deposit is non-refundable as it reserves studio time and covers early strategy and research work. If you cancel after project commencement, you are liable for any work completed up to the cancellation date, billed at a pro-rated daily rate.

5. Revisions & Approvals

Each project includes a defined number of revision rounds as specified in the Project Proposal. A revision round consists of a single consolidated set of feedback — all feedback must be submitted together, not in separate messages over time.

Revisions are limited to refining the original concept. Requests that fundamentally change the direction, messaging, or format of a deliverable (beyond the original brief) are considered a new scope of work and will be quoted separately.

Once you approve a deliverable (in writing, via email or messaging platforms), that deliverable is considered final. Any subsequent changes will be treated as additional work and billed accordingly.

6. Intellectual Property

Upon receipt of full payment, you are granted full ownership of the final delivered creative files for use in your paid advertising campaigns.

Nav Creatives retains:

• The right to display completed work in our portfolio, website, case studies, and social media (unless you request confidentiality in writing within 30 days of project completion).
• All rights to preliminary concepts, unused concepts, and working files not included in the final delivery.
• All rights to proprietary templates, frameworks, systems, and creative processes developed by Nav Creatives.

You represent and warrant that all materials, brand assets, and content you provide to us are either owned by you or you have the legal right to use them. You indemnify Nav Creatives against any claims arising from third-party intellectual property infringement caused by your provided materials.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of the engagement, including but not limited to: business strategies, ad performance data, customer data, unreleased products, and financial information.

This obligation does not apply to information that is already publicly available, independently developed, or required to be disclosed by law.

This confidentiality obligation survives the termination of the engagement for a period of 2 years.

8. Limitation of Liability

Nav Creatives provides creative design services. We do not guarantee specific advertising performance outcomes (such as ROAS, CPM, CTR, or conversion rates), as ad performance depends on many factors outside our control, including platform algorithms, audience targeting, landing page quality, and market conditions.

To the fullest extent permitted by applicable law, Nav Creatives' total liability for any claim arising out of or relating to these Terms or the services provided shall not exceed the total fees paid by you for the specific project giving rise to the claim in the 3 months preceding the event.

Nav Creatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

9. Termination

By Client: You may terminate a project at any time with written notice. You remain liable for all work completed up to the termination date. The initial deposit is non-refundable.

By Nav Creatives: We reserve the right to terminate an engagement if: (a) you breach these Terms and fail to remedy the breach within 5 business days of written notice; (b) payment obligations are not met; (c) you engage in abusive, threatening, or harassing behaviour toward our team.

Upon termination, all deliverables completed up to that point remain the property of Nav Creatives until all outstanding invoices are settled in full.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

For international clients, we will first attempt to resolve disputes through good-faith negotiation or mediation before resorting to formal legal proceedings.

11. Changes to These Terms

Nav Creatives reserves the right to update these Terms at any time. We will post the revised Terms on this page with an updated "Last updated" date. For active project engagements, any material changes to the Terms will be communicated directly via email.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
